1. Introduction

1.1

These Terms and Conditions ("Terms") govern access to and use of the Pay Motion website, client portal, applications, digital wallet, trading-related services, payment functionality, and any other products or services made available by PAY MOTION (PTY) LTD ("Pay Motion", "we", "us" or "our").

1.2

Pay Motion is developing a financial technology platform intended to help eligible users access trading-related information, view eligible funds, manage wallet balances, and use supported financial and payment services through one digital environment.

1.3

Depending on availability, eligibility, applicable law, and the relevant service agreements, the platform may include:

  • User registration and account management.
  • Identity verification and compliance checks.
  • Integration with supported trading platforms, including MetaTrader 5 ("MT5").
  • Display of trading account information and trading-related profits.
  • A digital wallet and transaction ledger.
  • Eligible deposits, withdrawals, and transfers.
  • Payment-card services.
  • Supported digital wallet and mobile payment functionality.
  • Customer support and account notifications.
1.4

Not every feature will necessarily be available to every user at all times. Some services may require separate registration, additional verification, acceptance of supplementary terms, or activation by Pay Motion and its relevant service providers.

1.5

These Terms must be read together with our Privacy Policy and any additional terms that apply to a specific product or service.

1.6

Where a specific product agreement conflicts with these Terms, the product agreement will govern the relevant service to the extent of the conflict, subject to applicable law.

2. Acceptance of these Terms

2.1

By creating a Pay Motion account, selecting an acceptance checkbox, accessing a restricted part of the platform, or using a service governed by these Terms, you acknowledge that you have had an opportunity to read and understand them.

2.2

If you do not agree to these Terms, you must not create an account or use the affected services.

2.3

If you accept these Terms on behalf of a business or another legal entity, you confirm that you have the authority to bind that entity.

2.4

We may retain records of your acceptance, including the applicable version of these Terms, the date and time of acceptance, and associated account records.

3. Eligibility and residency

3.1

To register for a personal Pay Motion account, you must:

  • Be at least 18 years old.
  • Have the legal capacity to enter into a binding agreement.
  • Provide accurate, current, and complete information.
  • Satisfy our identity-verification and compliance requirements.
  • Be legally permitted to access the relevant services in your country of residence.
  • Not be prohibited from using the services under applicable law.
3.2

The initial service offering is intended for eligible users residing in South Africa. We may restrict registration or particular features where the service is not available or lawful.

3.3

Registration does not automatically entitle you to use every Pay Motion service. Access may depend on verification, risk assessments, service availability, and applicable legal requirements.

3.4

We may decline an application or restrict access where reasonably necessary for compliance, security, fraud prevention, risk management, or legal reasons.

3.5

You must notify us if your residency, legal status, or other material eligibility information changes.

4. Account registration and information

4.1

You must provide truthful and accurate information when registering and using Pay Motion.

4.2

You are responsible for keeping your profile information current, including your contact details, residential information, and any other information reasonably required for verification or compliance.

4.3

You must not:

  • Register using another person's identity without lawful authority.
  • Provide false, misleading, forged, or materially incomplete information.
  • Create accounts to evade restrictions or verification requirements.
  • Use the platform for impersonation, fraud, money laundering, or another unlawful purpose.
  • Attempt to access accounts, information, or systems without authorisation.
4.4

We may request additional information or supporting documents before enabling certain services or processing particular transactions.

4.5

We may suspend or restrict functionality where information is missing, inconsistent, outdated, or reasonably suspected to be fraudulent.

5. Account security

5.1

You are responsible for protecting your login credentials, authentication methods, devices, and account access.

5.2

You must not knowingly share your password, authentication codes, or other security credentials with unauthorised persons.

5.3

You must notify Pay Motion promptly if you suspect that your account has been compromised, your credentials have been disclosed, or an unauthorised transaction has occurred.

5.4

We may require additional authentication, temporarily restrict access, or take other reasonable security measures to protect your account and the platform.

5.5

We will handle reports of unauthorised access in accordance with applicable law and the procedures applicable to the relevant service.

5.6

Nothing in this section excludes rights or obligations that cannot lawfully be excluded or transferred to the user.

6. Description of the Pay Motion platform

6.1

Pay Motion is intended to provide a digital interface through which users can access supported trading-related information and eligible financial or payment functionality.

6.2

Where supported, the platform may connect with external trading systems, brokers, payment providers, card issuers, banks, identity-verification providers, and other third-party services.

6.3

The information displayed may include trading account details, balances, transaction records, profit information, wallet activity, and the status of supported transactions.

6.4

The availability and accuracy of third-party information may depend on external systems, data feeds, permissions, processing times, and the relevant provider's operational status.

6.5

We will take reasonable steps to maintain the integrity of information displayed on the platform. However, you should report apparent discrepancies promptly rather than relying on information you reasonably believe is incorrect.

6.6

Pay Motion may introduce, modify, suspend, or discontinue features where reasonably necessary for security, technical, operational, commercial, or legal reasons, subject to applicable law and any obligations owed to users.

7. Trading platforms and third-party brokers

7.1

Pay Motion may support connections to third-party trading platforms, including MT5, and to brokers that permit the relevant integration.

7.2

Unless expressly stated in a separate agreement, Pay Motion does not act as your trading broker merely because the platform displays trading information or connects to a trading account.

7.3

Your relationship with a broker is governed by the agreement between you and that broker.

7.4

Brokers and trading platforms may have their own eligibility rules, fees, trading conditions, withdrawal requirements, and dispute procedures.

7.5

Trading account balances and profits displayed through Pay Motion do not automatically constitute cleared, settled, or withdrawable funds.

7.6

A displayed amount may require confirmation from the relevant broker or trading platform and may be subject to open positions, trading adjustments, settlement, withdrawal restrictions, verification, or other applicable conditions.

7.7

You are responsible for understanding the risks of trading, including the possibility of losing money. Pay Motion does not guarantee trading profits, investment returns, or the success of any trading strategy.

7.8

Pay Motion does not provide personalised investment, tax, or legal advice merely by displaying trading information or offering payment-related functionality.

7.9

Where trading-related information is delayed, unavailable, incomplete, or inconsistent, we may temporarily prevent a transaction from proceeding until the relevant information can be reasonably verified.

8. The Pay Motion wallet

8.1

Where wallet functionality is available, Pay Motion may provide a digital interface for displaying eligible balances and recording supported transactions.

8.2

Wallet records may distinguish between different categories of value, including:

  • Trading balances reported by a connected broker.
  • Pending or unconfirmed amounts.
  • Eligible funds awaiting settlement or verification.
  • Available wallet balances.
  • Funds subject to restrictions, holds, or review.
  • Completed and pending transactions.
8.3

The categories displayed in your account are intended to help you understand the status of recorded amounts. The precise legal and operational treatment of funds depends on the applicable service arrangement and law.

8.4

A balance displayed in the platform is not, by itself, a guarantee that the corresponding amount has been received, settled, safeguarded, or made available for immediate withdrawal.

8.5

Pay Motion will not represent a transaction as completed merely because it has been requested or initiated. The transaction status shown should be interpreted according to the relevant stage of processing.

8.6

You may only use wallet functionality for lawful purposes and in accordance with any applicable transaction limits and service conditions.

8.7

You must not attempt to exploit errors, duplicate credits, delayed updates, system vulnerabilities, or processing failures to obtain funds to which you are not entitled.

8.8

Where a genuine error has occurred, we may investigate and correct inaccurate records. Any recovery or adjustment will be handled in accordance with applicable law and the terms governing the relevant service.

8.9

The wallet is not represented as a bank deposit account unless an applicable agreement expressly establishes that relationship. Deposit protection, interest, safeguarding, and other protections must not be assumed unless they apply under the relevant legal and contractual arrangements.

9. Deposits, withdrawals and transfers

9.1

Where enabled, Pay Motion may support eligible deposits, withdrawals, or transfers through approved methods.

9.2

Available methods may depend on your account status, the source and destination of funds, the relevant provider, transaction limits, and applicable legal requirements.

9.3

Before submitting a transaction, you are responsible for checking the amount, destination details, applicable charges, and other information presented for confirmation.

9.4

We may require additional verification before processing a transaction, particularly where a transaction is unusual, high risk, inconsistent with account information, or subject to legal or contractual restrictions.

9.5

A transaction may be delayed, declined, returned, or placed under review where reasonably necessary because of:

  • Incomplete identity verification.
  • Incorrect recipient or account details.
  • Insufficient eligible funds.
  • Broker, bank, payment-provider, or network delays.
  • Security or fraud concerns.
  • Suspected unlawful activity.
  • Applicable sanctions or legal restrictions.
  • Technical failures or maintenance.
  • A requirement imposed by a relevant service provider or competent authority.
9.6

Where we control the relevant processing step, we will take reasonable steps to provide appropriate transaction-status information.

9.7

Processing times may vary. We do not guarantee an exact completion time unless an applicable service expressly provides one.

9.8

A transaction that has been submitted to an external provider may not be capable of immediate cancellation or reversal. You should contact us promptly if you identify an error.

9.9

We may impose reasonable transaction limits and may change those limits where necessary for risk management, provider requirements, or compliance, subject to applicable law and contractual obligations.

9.10

We will disclose applicable fees before you confirm a transaction where required by law. Any applicable exchange-rate or conversion charges will be disclosed through the relevant transaction flow or product terms.

9.11

We will not knowingly charge a fee that has not been properly disclosed or authorised where disclosure or authorisation is legally required.

10. Payment cards and digital wallets

10.1

Pay Motion may offer payment-card functionality through appropriately appointed banking, issuing, processing, programme, or other service providers, subject to the relevant agreements and approvals.

10.2

Card services may include physical cards, virtual cards, online payments, point-of-sale transactions, and supported digital wallet functionality, depending on the product made available to you.

10.3

Card issuance and use may require additional verification, acceptance of cardholder terms, and compliance with the rules of the relevant issuer, payment network, and service providers.

10.4

A Pay Motion account does not automatically entitle you to receive a card or use Apple Pay, Google Pay, or another digital wallet.

10.5

Availability depends on the relevant programme, issuer, device, country, payment network, and other applicable eligibility conditions.

10.6

Cardholder terms may govern card activation, spending limits, fees, cash withdrawals, refunds, disputes, lost or stolen cards, chargebacks, and card termination.

10.7

Where separate cardholder terms apply, you must accept them before using the relevant card service.

10.8

You must protect your card details, PIN, security codes, and devices. You must report lost cards, suspected misuse, and unauthorised transactions promptly through the applicable support channel.

10.9

Card transactions may be declined, delayed, reversed, or disputed in accordance with the relevant card programme rules and applicable law.

10.10

Nothing in these Terms represents that a particular card issuer, payment network, processor, or digital wallet provider has approved or activated a Pay Motion programme unless that fact is expressly confirmed in the applicable product documentation.

11. Fees and charges

11.1

Pay Motion may charge fees for particular services where those fees are lawful and properly disclosed.

11.2

Fees may include account-service charges, transaction charges, currency-conversion costs, card fees, or other charges associated with an expressly offered service.

11.3

Applicable fees will be disclosed through the relevant pricing information, transaction confirmation, or supplementary service terms.

11.4

Third-party providers may impose separate charges where permitted under their agreements and applicable law.

11.5

You are responsible for reviewing the charges presented before confirming a transaction.

11.6

We may change our fees prospectively by providing notice where required by law or the applicable agreement.

11.7

Changes to fees will not override statutory rights or contractual protections that apply to a transaction already completed.

12. Identity verification and compliance

12.1

Pay Motion may need to verify your identity, address, source of funds, source of wealth, trading-account ownership, or other information relevant to the services you use.

12.2

Verification may involve identity documents, proof of address, facial verification, additional questions, or checks performed by appropriately appointed service providers.

12.3

You authorise the processing and verification of information to the extent described in our Privacy Policy and permitted by applicable law.

12.4

We may request updated documents or information where reasonably necessary to maintain accurate records and meet applicable legal or contractual obligations.

12.5

Certain transactions or features may remain unavailable until verification is completed.

12.6

Where required or permitted by law, we may monitor transactions, investigate suspicious activity, retain relevant records, or provide information to competent authorities and authorised service providers.

12.7

We may restrict or delay a transaction where necessary to meet legal obligations or respond to a legitimate security or compliance concern.

12.8

We will handle personal information and compliance-related records in accordance with applicable law and our Privacy Policy.

13. Acceptable use

13.1

You may use Pay Motion only for lawful purposes and in accordance with these Terms.

13.2

You must not use the platform to:

  • Commit fraud, theft, money laundering, terrorist financing, or another unlawful act.
  • Conceal the ownership or origin of funds unlawfully.
  • Process transactions on behalf of another person without lawful authority.
  • Circumvent identity checks, transaction controls, or legal restrictions.
  • Use stolen, falsified, or unauthorised payment credentials.
  • Exploit technical vulnerabilities or manipulate transaction records.
  • Interfere with the platform's security, integrity, or availability.
  • Upload malicious software or attempt unauthorised system access.
  • Misrepresent your identity, residency, source of funds, or account ownership.
  • Violate the rights of Pay Motion or another person.
13.3

You must cooperate reasonably with investigations into suspected misuse of your account.

13.4

We may restrict or terminate access where we reasonably believe that a user has breached these Terms or that continued access creates a material legal, security, financial, or operational risk.

14. Suspension, restriction and account closure

14.1

You may request closure of your account through the available account settings or by contacting support.

14.2

We may suspend, restrict, or close an account where reasonably necessary because of:

  • A breach of these Terms.
  • Suspected fraud or unauthorised access.
  • Incomplete or failed verification.
  • A legal or regulatory requirement.
  • A direction from a competent authority or relevant service provider.
  • A material security risk.
  • Prolonged inactivity, where permitted by applicable law and the relevant service terms.
  • Discontinuation of the relevant service.
14.3

Where reasonably practicable and legally permitted, we will provide information about a restriction and the steps available to resolve it.

14.4

We may be prohibited from disclosing certain details where disclosure would breach the law or compromise a legitimate investigation.

14.5

Suspending an account does not automatically extinguish rights or obligations that arose before suspension.

14.6

Where an account is closed, any remaining eligible funds will be handled in accordance with applicable law, the relevant service agreement, verification requirements, and any lawful restrictions.

14.7

We may retain information after closure where required or permitted by law, as explained in our Privacy Policy.

15. Privacy and personal information

15.1

Pay Motion processes personal information in accordance with applicable data-protection laws, including South Africa's Protection of Personal Information Act 4 of 2013 ("POPIA"), where applicable.

15.2

We may process personal information to provide services, verify identities, secure accounts, investigate fraud, maintain records, comply with legal obligations, provide support, and improve the platform.

15.3

We may share relevant information with authorised service providers and other recipients where necessary and lawful for the purposes described in our Privacy Policy.

15.4

Our Privacy Policy explains the categories of information we collect, the purposes for which we use it, the circumstances in which it may be shared, applicable retention practices, and how users may exercise relevant rights.

15.5

By using Pay Motion, you acknowledge that personal information may be processed as described in that policy and as otherwise permitted or required by law.

16. Third-party services

16.1

Some Pay Motion features may depend on services provided by independent third parties, including brokers, trading platforms, banks, payment providers, card issuers, identity-verification providers, communications providers, and digital wallet operators.

16.2

Third-party services may be subject to separate terms, privacy notices, availability restrictions, fees, and processing requirements.

16.3

We are not responsible for independent third-party services to the extent that a problem is outside our reasonable control, subject to any duties or liability that applicable law places on Pay Motion.

16.4

We will take reasonable steps within our control to investigate reported issues involving integrations or services presented through the Pay Motion platform.

16.5

References to a third-party product or service do not, by themselves, establish that a partnership, approval, endorsement, or commercial agreement exists.

17. Platform availability and technical issues

17.1

We aim to keep Pay Motion available and secure, but uninterrupted access cannot be guaranteed.

17.2

The platform may occasionally be unavailable because of maintenance, upgrades, cyber incidents, telecommunications failures, third-party outages, power failures, or other circumstances.

17.3

We may temporarily disable particular features to protect users, investigate suspected errors, perform maintenance, or address a security or compliance issue.

17.4

We will take reasonable steps to restore affected services and communicate material service disruptions where appropriate.

17.5

You are responsible for maintaining a compatible device, a suitable internet connection, and reasonable security protections on devices used to access your account.

18. Intellectual property

18.1

Unless otherwise stated, the Pay Motion name, branding, website design, software, platform materials, and related intellectual property are owned by or licensed to Pay Motion.

18.2

You receive a limited, personal, non-exclusive, non-transferable right to access and use the platform for its intended lawful purpose while your access remains authorised.

18.3

You must not copy, distribute, sell, reverse engineer, modify, or commercially exploit platform materials except where permitted by law or expressly authorised by us.

18.4

You retain any rights you lawfully hold in information or content you submit to Pay Motion, subject to the licences and permissions reasonably required to provide the services.

19. Disclaimers and limitation of liability

19.1

Pay Motion is provided subject to these Terms and the specific conditions applicable to each service.

19.2

Information displayed through the platform may depend on external systems and may be affected by delays, errors, outages, or incomplete data. We will take reasonable steps to address material errors within our control.

19.3

Pay Motion does not guarantee trading profits, investment performance, uninterrupted service, or the availability of every feature in every location.

19.4

To the extent permitted by applicable law, Pay Motion will not be liable for indirect or consequential losses that could not reasonably have been anticipated, except where such liability cannot lawfully be excluded.

19.5

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where liability cannot lawfully be excluded, or any other liability that applicable law does not permit us to exclude or limit.

19.6

Nothing in these Terms excludes or limits your statutory rights, including rights that may apply under consumer-protection, financial-services, payment-services, or data-protection laws.

19.7

You remain responsible for understanding the risks associated with trading and for obtaining independent professional advice where appropriate.

20. Indemnity

20.1

To the extent permitted by law, you may be responsible for losses and reasonable costs directly arising from your fraud, unlawful conduct, or material breach of these Terms.

20.2

This section does not require you to indemnify Pay Motion for losses caused by Pay Motion's own unlawful conduct or for any matter where such an indemnity would be prohibited by applicable law.

21. Complaints and dispute resolution

21.1

If you have a complaint, transaction query, or account concern, contact:

Email: support@paymotion.co.za

Website: paymotion.co.za

21.2

Please provide sufficient information for us to identify your account and investigate the issue. Do not send your password or full authentication credentials.

21.3

We will review complaints and respond within a reasonable period, taking into account the nature and complexity of the issue and any legally prescribed time limits.

21.4

Where a complaint concerns an independent broker, bank, card issuer, or other service provider, we may direct you to the appropriate complaints process or assist with escalation where reasonably possible.

21.5

Nothing in this section prevents you from referring a complaint to a competent regulator, ombud, dispute-resolution body, or court where you are legally entitled to do so.

22. Changes to these Terms

22.1

We may update these Terms to reflect changes in the platform, applicable law, security requirements, service providers, or business operations.

22.2

Where required by law or the applicable agreement, we will provide advance notice of material changes.

22.3

The updated version will identify its effective date and will be made available through the platform or website.

22.4

Where a change requires your consent, we will obtain that consent before applying the change to the relevant service.

22.5

You may stop using a service if you do not agree to a change, subject to any outstanding obligations and applicable legal requirements.

23. General provisions

23.1

Entire agreement: These Terms, together with the Privacy Policy and applicable supplementary service agreements, form the agreement governing your use of the relevant Pay Motion services.

23.2

Severability: If a provision is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

23.3

No waiver: A failure or delay in enforcing a provision does not automatically waive the right to enforce it later.

23.4

Assignment: You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.

23.5

Third-party rights: A person who is not a party to these Terms does not acquire rights under them merely because they are mentioned in the document, except where applicable law or a separate agreement provides otherwise.

23.6

Electronic communications: Where permitted by law, we may communicate with you electronically using the contact details associated with your account.

23.7

Language: These Terms are drafted in English. Where a translation is provided, the governing version will be identified in accordance with applicable law.

24. Governing law

24.1

These Terms are governed by the laws of the Republic of South Africa, subject to applicable conflict-of-law rules and any mandatory protections that apply to you.

24.2

Disputes will be handled by a competent South African court or another competent forum where required or permitted by applicable law.

24.3

Nothing in this section limits a consumer's right to approach a competent regulator, ombud, or other dispute-resolution body where that right exists under applicable law.
